1. Acceptance of Terms

By accessing or using ScaleIt (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and ScaleIt ("Company", "we", "our", "us").

2. Description of the Service

ScaleIt is a platform that provides tools for creators and brands to manage, analyze, and scale their short-form video content. The Service may include, but is not limited to:

  • Integration with third-party platforms such as TikTok via their official APIs.
  • Dashboard and analytics for video performance metrics (views, likes, shares, comments).
  • Campaign management tools for brands and creators.
  • Performance tracking and reporting.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration and Security

  • You may be required to connect a third-party account (e.g., TikTok) to use certain features of the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to notify us immediately of any unauthorized use of your account.
  • We are not liable for any loss or damage arising from your failure to protect your account.

5. Use of Third-Party APIs (TikTok)

The Service integrates with TikTok's API to provide analytics and content management features. By using these features, you acknowledge and agree that:

  • Your use of TikTok data through our Service is also subject to TikTok's Terms of Service and TikTok's Privacy Policy.
  • We access only the data you explicitly authorize via TikTok's OAuth 2.0 consent flow.
  • We do not store your TikTok password.
  • You may revoke our access to your TikTok account at any time through the TikTok app settings or through our dashboard.
  • We are not responsible for any changes, outages, or limitations imposed by TikTok on their API.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Use automated scripts, bots, or scraping tools to access the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reproduce, duplicate, copy, sell, or exploit any portion of the Service without express written permission.
  • Violate any applicable laws, regulations, or third-party rights.
  • Use TikTok data obtained through the Service in a manner that violates TikTok's Developer Terms.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the underlying code — are the exclusive property of ScaleIt or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes, subject to these Terms.

8. User Content

You retain ownership of any content you submit or upload to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process your content solely for the purpose of providing the Service.

9. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • That the Service will be uninterrupted, error-free, or secure.
  • That the results obtained from the Service will be accurate or reliable.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ScaleIt and its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for all claims arising from these Terms or the use of the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ScaleIt and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will remain in effect.

You may terminate your account at any time by contacting us or by disconnecting your linked accounts through the dashboard.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Spain.
